Draft — needs review before publishing
Fill every [BRACKETED] item and have a Tanzanian lawyer review this before you take money. Sections 13 and 15 in particular decide what happens when something goes wrong, and they should not be guessed at.
1. This agreement
Storebook is operated by [REGISTERED COMPANY NAME] of [ADDRESS], Dar es Salaam, Tanzania. In these terms, "we" and "us" mean that company. "You" means the shop using Storebook, and the person who created the shop account.
You must be at least 18 and be entitled to act for the shop you are registering.
2. Your shop account
- You sign up yourself and create a shop. You are responsible for the information you enter being accurate.
- Your shop has a shop code. Anyone with that code can request to join your shop, so treat it as you would a key to the till.
- You are responsible for keeping your sign-in details private and for everything done under your account.
- Tell us promptly if you think someone has access who should not.
3. Your staff
You can add people to your shop and set what each of them can do — receive stock, sell phones, see prices and profit, export reports, manage the shop. You control these permissions and can change them at any time.
You are responsible for what the people in your shop do in Storebook. Every action is recorded against the person who performed it, which is there to protect you.
4. Free trial
- New shops get 14 days free.
- No card is required and nothing is charged automatically.
- You can use the whole product during the trial, with no feature held back.
- At the end of 14 days, selling and receiving pause until you subscribe. Your data stays where it is.
5. Payment
- Storebook costs 10,000 TSh per shop, per month.
- There is no charge per user, per phone, or per receipt. Everyone in your shop is included.
- You pay by mobile money using the details shown inside the app.
- Payment confirmation is currently handled manually. Once we confirm your payment, we extend your access. This normally takes [HOW LONG].
- We do not store your mobile money PIN and we cannot take money from your account. Every payment is one you send.
- Prices are in Tanzanian shillings and [STATE: include or exclude VAT].
Decide before publishing
What happens if a shop pays for a month and cancels on day three? Say plainly whether you refund a part month or not. "No refunds for part months" is a perfectly fair term — an unanswered question is not.
Your answer: [REFUND POLICY]
6. If payment stops
We do not delete anything when a subscription lapses.
- Your records stay in place.
- You can still sign in, look at your data, and export it.
- Receiving stock and recording sales pause until payment resumes.
- If an account stays unpaid for [HOW LONG], we may close it after telling you first and giving you a chance to export everything.
7. Your data
Your shop's records belong to your shop. Not to us.
- You can export your inventory, sales and full reports to Excel, and back up to JSON, at any time, without asking us.
- We store and process your data only to run the service for you.
- We do not sell your data, and we do not use your shop's records to market to your customers.
- You give us the permission we need to host, store, back up and display your data so the service can work — nothing more.
How we handle personal information is set out in our Privacy Policy, which forms part of these terms.
8. Your customers' data
When you record a customer's name, phone number or email, that information is yours and you are responsible for it under the Personal Data Protection Act. You confirm that you have a lawful reason to collect it and that you will handle it properly.
We process it on your instructions, to produce your receipts and records. We do not use it for our own purposes.
9. Acceptable use
You agree not to:
- Use Storebook to record or trade phones you know to be stolen.
- Enter IMEI numbers or invoice details you know to be false.
- Use the service to break Tanzanian law, or to help someone else do so.
- Try to break into, overload, copy or reverse-engineer the service.
- Resell or rebrand Storebook as your own product without our written agreement.
- Share one shop account across businesses that are not actually the same shop.
10. The service itself
- Storebook is a web app. It runs in your phone's browser and there is nothing to install.
- Scanning and selling work offline. Actions queue on the device and sync when the connection returns. Until a device syncs, other people in your shop will not see those actions.
- On iPhone, the fast scanner is not supported by the browser, and the app falls back to photographing the label.
- We improve the service over time, and features may change. We will not remove something you depend on without telling you.
- We aim to keep Storebook available at all times but we do not promise it will never be interrupted, and we do not currently offer a guaranteed uptime level.
11. Scanning and accuracy
Storebook reads IMEIs from box labels using the phone's camera, and in some cases reads a photographed label automatically. This is accurate in normal use, but it is not infallible — a damaged, dirty or unusual label can be misread.
You remain responsible for checking that what is recorded matches the phone in your hand, particularly before selling or handing over a warranty. Storebook helps you verify a delivery against an invoice; it does not replace your judgement.
12. Suspension and closing your shop
- You can stop using Storebook at any time. Export your data first — we will help if you ask.
- We may suspend or close an account that breaks section 9, that is being used unlawfully, or that puts other shops' data at risk.
- Except in serious cases, we will warn you first and give you a chance to put things right and export your records.
13. Liability
Storebook is a record-keeping tool. We provide it with reasonable care and skill, but:
- We are not responsible for business decisions you make based on what Storebook shows you.
- We are not responsible for losses caused by incorrect data you or your staff entered.
- We are not responsible for your device, your internet connection, or your mobile money provider.
- We are not responsible for loss of profit or business interruption.
- Where we are liable, our total liability to you is limited to [e.g. the fees you paid us in the previous 12 months].
Nothing here limits liability that cannot be limited under Tanzanian law.
Do not publish this section as written
A liability cap is only worth what the law allows. Have this drafted or confirmed by a lawyer — it is the clause that matters most if a shop ever claims Storebook cost them money.
14. Changes to these terms and to the price
- We may update these terms. The date at the top will change, and we will tell you in the app when a change is significant.
- If we change the price, we will give you at least [NUMBER] days' notice before it applies to your shop.
- If you do not accept a change, you can stop using the service and export your data.
15. Law and disputes
These terms are governed by the laws of the United Republic of Tanzania. If we cannot settle a dispute by talking, it will be dealt with by the courts of Tanzania.
We would much rather sort out a problem on WhatsApp than in a courtroom. Contact us first.
